Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the RevShare platform operated by The Network Software Ltd ("we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Definitions

• "Platform" refers to the RevShare website, applications, and related services.
• "Program Operator" refers to a business that creates and manages a revenue share program on the Platform.
• "Member" or "Partner" refers to an individual or entity that joins a revenue share program to earn commissions.
• "Referral" refers to an introduction or connection made by a Member that results in a trackable business opportunity.
• "Commission" refers to the revenue share payment earned by a Member for successful referrals.

2. Account Registration

To use our services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years of age to use the Platform.

3. Revenue Share Programs

For Program Operators: You may create and manage revenue share programs on the Platform. You are responsible for setting commission structures, approval criteria, and program terms. You must ensure that your program complies with all applicable laws and regulations. Commission rates and structures must be clearly communicated to Members.

For Members: By joining a program, you agree to the specific terms set by the Program Operator. Commissions are earned based on the rules defined by each program and are subject to verification of qualifying revenue events. Joining a program does not guarantee earnings.

4. Commissions and Payments

• Commissions are calculated based on verified revenue events as defined by each program's commission structure.
• Payouts are processed according to the schedule and minimum thresholds established by the Platform and the Program Operator.
• We reserve the right to withhold, adjust, or reverse commissions in cases of fraud, chargebacks, refunds, or violations of these Terms.
• You are solely responsible for any tax obligations arising from commissions earned through the Platform.

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws
• Engage in fraudulent referral activity, including self-referrals, fake leads, or manipulation of tracking systems
• Misrepresent your identity, affiliation, or the products and services of any Program Operator
• Use spam, unsolicited communications, or deceptive marketing practices to generate referrals
• Attempt to circumvent, disable, or interfere with security features of the Platform
• Scrape, harvest, or collect data from the Platform without authorisation
• Create multiple accounts for fraudulent purposes

6. Intellectual Property

The Platform, including its design, content, features, and functionality, is owned by The Network Software Ltd and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

7. Confidentiality

You agree to keep confidential any non-public information obtained through the Platform, including commission structures, business metrics, partner information, and proprietary data. This obligation survives termination of your account.

8. Termination

We may suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion. Program Operators may also remove Members from their programs. Upon termination:

• Your access to the Platform will be revoked
• Pending commissions may be forfeited if termination is due to a violation of these Terms
• Earned and verified commissions will be paid out in accordance with our standard payout schedule

9. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Platform will be uninterrupted, secure, or error-free. We do not guarantee any specific level of earnings or business results from participation in any revenue share program.

10. Limitation of Liability

To the maximum extent permitted by law, The Network Software Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Platform. Our total liability for any claim shall not exceed the total commissions paid to you in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless The Network Software Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

12. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be governed by the laws of New Zealand. You agree to attempt to resolve disputes informally before pursuing formal proceedings. Any formal proceedings shall be brought in the courts of New Zealand.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
